Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and H&T GAMING LTD ("Company," "we," "us," or "our"), operating the GAM Sentinel platform ("Platform" or "Service"). By accessing, registering for, or using the Platform at gamsentinel.com, you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Description of Service

GAM Sentinel is an enterprise ad-tech monitoring platform that provides:

  • Real-time Google Ad Manager (GAM) performance monitoring
  • Smart anomaly detection and configurable alert rules
  • MCM (Multiple Customer Management) account administration
  • Compliance automation and policy violation detection
  • Revenue analytics and multi-dimensional reporting
  • Automated onboarding workflows for publisher accounts

The Platform integrates with the Google Ad Manager API under Google's API Terms of Service. Your use of GAM Sentinel is also subject to Google's terms as they relate to API data access.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age and represent a legitimate business entity to use GAM Sentinel. Individual consumer accounts are not supported.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring that your account information remains accurate and current

3.3 Account Types

Accounts are assigned roles (Admin, Parent, Partner) that determine access levels. You agree to use only the features appropriate to your assigned role and not to circumvent access controls.

4. Subscription and Payment

4.1 Plans and Pricing

GAM Sentinel offers tiered subscription plans. Pricing is displayed on our website and may be updated with 30 days' advance notice to existing subscribers. Your subscription begins upon successful payment and continues for the billing period selected (monthly or annual).

4.2 Free Trial

New users may receive a 14-day free trial with full platform access. No credit card is required during the trial. At trial expiration, you must select a paid plan to continue service.

4.3 Billing and Renewal

  • Subscriptions auto-renew at the end of each billing cycle unless cancelled
  • Payment is due at the start of each billing period
  • Failed payments result in a 7-day grace period before service suspension
  • All fees are exclusive of applicable taxes

4.4 Refund Policy

Annual subscriptions may be refunded within 14 days of initial purchase if you have not actively used the monitoring features. Monthly subscriptions are non-refundable. Refund requests must be submitted to gamsentinel@hntgaming.me.

5. Acceptable Use

You agree not to:

  • Use the Platform to violate Google Ad Manager policies or any applicable law
  • Attempt to reverse-engineer, decompile, or extract source code from the Platform
  • Use the Platform to generate artificial traffic, commit ad fraud, or inflate metrics
  • Share your account credentials with unauthorized third parties
  • Exceed API rate limits or attempt to overload Platform infrastructure
  • Use automated scraping tools against the Platform without written authorization
  • Circumvent any security measures, access controls, or usage limitations
  • Use the Platform for competitive intelligence gathering against H&T GAMING LTD
  • Transmit malware, viruses, or harmful code through the Platform

6. Confidentiality

Each party acknowledges that during the course of this agreement, it may receive confidential information from the other party, including but not limited to business strategies, revenue data, account configurations, and proprietary technology ("Confidential Information").

  • Confidential Information shall not be disclosed to any third party without prior written consent
  • Confidential Information shall be used only for purposes of fulfilling obligations under these Terms
  • Obligations of confidentiality survive termination of the agreement for a period of 2 years
  • This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law

7. Data and Intellectual Property

7.1 Your Data

You retain ownership of all data you provide or that is collected from your GAM account. You grant us a limited, non-exclusive license to process this data solely for the purpose of providing the Service.

7.2 Our Intellectual Property

The Platform, including its algorithms, alert logic, user interface, documentation, and underlying technology, is owned by H&T GAMING LTD and protected by intellectual property laws. Nothing in these Terms grants you ownership of any Platform IP.

7.3 Aggregated Data

We may use anonymized, aggregated data derived from Platform usage to improve our services, generate industry benchmarks, and develop new features. This data cannot be used to identify you or your accounts.

8. Service Level and Availability

8.1 Uptime Commitment

  • Professional plan: 99.5% monthly uptime target
  • Enterprise plan: 99.99% monthly uptime SLA with service credits for breaches

8.2 Scheduled Maintenance

We will provide at least 48 hours' notice for planned maintenance windows. Maintenance occurring outside of our announced windows does not count against SLA.

8.3 Force Majeure

We are not liable for outages caused by events beyond our reasonable control, including but not limited to: Google API outages, natural disasters, network provider failures, or government actions.

9. Compliance Actions

If you enable automated compliance features (such as auto-withdrawal of accounts that violate policy thresholds), you acknowledge and agree that:

  • These actions are performed based on rules you configure
  • H&T GAMING LTD is not liable for business impact resulting from automated actions you have enabled
  • You can disable automated actions at any time through your dashboard settings
  • You are responsible for verifying that alert thresholds are appropriate for your network

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for lost revenue, data loss, or business interruption arising from Platform use
  • We are not responsible for actions taken by Google on your Ad Manager account

11. Indemnification

You agree to indemnify and hold harmless H&T GAMING LTD, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your violation of these Terms; (b) your misuse of the Platform; (c) your violation of any third-party rights; or (d) policy violations in your GAM accounts unrelated to Platform functionality.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting gamsentinel@hntgaming.me. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account if you: violate these Terms, engage in fraudulent activity, fail to pay after the grace period, or if continued service poses a security risk. We will provide reasonable notice when possible.

12.3 Effect of Termination

Upon termination, your access to the Platform ceases. You may request a data export within 30 days of termination. After 30 days, we will delete your data in accordance with our Privacy Policy.

13. Dispute Resolution

Disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be London, United Kingdom. The language of arbitration shall be English.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. H&T GAMING LTD is registered in the United Kingdom and subject to the UK Data Protection Act 2018 and the UK GDPR. For EU-based users, nothing in these Terms affects your statutory consumer rights under EU law.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and GDPR Compliance page, constitute the entire agreement between you and H&T GAMING LTD relating to your use of GAM Sentinel. They supersede all prior agreements, representations, and understandings, whether written or oral.
